Terms of Service

By accessing or using the NEXA website at nexa.community or any associated NEXA service (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms form a legally binding agreement between you and NEXA (“we”, “our”, or “us”). We may update these Terms from time to time; continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

NEXA is an AI-native professional networking service that helps individuals identify and request warm introductions through their existing professional network. The Service includes:

• A web-based onboarding flow accessible at nexa.community.
• An AI voice conversation that gathers information about your professional goals.
• Identification of potential warm introduction paths through your network, using data you provide and, with your permission, data from connected sources such as Google Contacts.
• Delivery of warm introduction suggestions via email, the NEXA mobile application, or other channels we may offer.

The Service is intended for professional networking purposes only. NEXA does not guarantee any specific outcome, including the success of any introduction or the achievement of any professional goal.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You sign in to NEXA using your Google account. You are responsible for maintaining the security of your Google account credentials and for all activity that occurs through your NEXA session. Notify us immediately at zubin@nexa.community if you suspect unauthorised access.

You may only create one account per person. Creating multiple accounts to circumvent any restriction or to misuse the Service is prohibited.

You agree not to use the Service to:

• Provide false, misleading, or inaccurate information about yourself or your professional background.
• Harass, threaten, or harm any person, including individuals identified as potential introductions.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Scrape, reverse engineer, or otherwise extract data from the Service by automated means.
• Use the Service to send unsolicited communications or spam to any person.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

If you grant NEXA permission to access your Google Contacts during sign-in, you authorise us to retrieve the names, email addresses, and professional details of your contacts for the sole purpose of identifying potential warm introductions within your existing network. This access is governed by our Privacy Policy and the Google API Services User Data Policy.

You represent that you have the right to share this contact data with NEXA and that doing so does not violate any obligation you have to the individuals in your contacts or to any third party.

You may revoke Google Contacts access at any time through your Google Account permissions.

You retain ownership of any content you submit to the Service, including resume files, professional goals, and information shared during your AI conversation. By submitting content, you grant NEXA a limited, non-exclusive, royalty-free licence to use, store, and process that content solely to provide the Service to you.

You are responsible for ensuring that any content you submit does not infringe the intellectual property or other rights of any third party and does not contain any confidential or proprietary information of any employer or other entity.

All rights, title, and interest in and to the Service, including its design, software, trademarks, and content (excluding content you submit), are owned by or licensed to NEXA. Nothing in these Terms grants you any right to use the NEXA name, logo, or branding without our prior written permission.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

NEXA does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. NEXA does not guarantee that any introduction will result in a successful professional outcome.

Information provided through the Service, including AI-generated content, is for informational purposes only and does not constitute professional, legal, financial, or career advice.

To the fullest extent permitted by law, NEXA and its founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to use the Service in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you.

You agree to indemnify and hold harmless NEXA and its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

You may stop using the Service at any time. To request deletion of your account and associated data, email zubin@nexa.community.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will do so.

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are located in the European Union, you may also have access to online dispute resolution through the EU Online Dispute Resolution platform.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
